Welcome to Tulumi Digital Marketing (“Tulumi,” “we,” “us,” or “our”). By engaging our services, submitting payment, or continuing with any project, you (“Client”) acknowledge that you have read, understood, and agreed to the following Terms & Conditions.
1. Compensation & Payment Terms
Client agrees to pay all fees for services purchased in advance unless otherwise stated in writing. Monthly services are billed automatically on the renewal date. One-time services and SEO services require full payment in advance before work begins.
Late payments may incur a charge of 1.5% per month after 30 days.
2. Website Hosting & Maintenance Services
Tulumi Digital Marketing may provide website hosting, server access, security updates, backups, monitoring, and ongoing website maintenance services for a recurring fee.
Payment & Billing
Hosting and maintenance services are billed on a recurring basis and must remain current for services to continue. Client authorizes Tulumi Digital Marketing to charge the payment method on file for all applicable hosting and maintenance fees.
Failed Payments & Grace Period
If a payment is declined for any reason, including but not limited to an expired card, lost card, closed account, insufficient funds, or bank restrictions, Client is responsible for promptly updating payment information.
Tulumi Digital Marketing provides a fourteen (14) day grace period from the original billing date to resolve failed payments.
Suspension of Services
If payment remains outstanding after fourteen (14) days, Tulumi Digital Marketing reserves the right, without further obligation, to suspend hosting and maintenance services until payment is brought current.

Client acknowledges that website suspension will result in the website being inaccessible to the public during the suspension period.
Restoration of Services
Services will be restored after:
Restoration timing is not guaranteed and may require reasonable processing time.
Data Retention & Liability
Tulumi Digital Marketing is not responsible for any loss of traffic, revenue, leads, search rankings, data, or business opportunities resulting from suspension due to non-payment.
Client is responsible for maintaining independent backups of website data. While Tulumi Digital Marketing may perform backups as part of maintenance services, no backup is guaranteed during periods of suspension or non-payment.
3. Cancellation Policy
Either party may terminate services with sixty (60) days written notice. Services rendered and payments processed prior to termination are billable and non-refundable. Monthly billing continues until written cancellation is received.
Tulumi reserves the right to cancel projects that are abandoned or inactive for more than 30 days.
4. Refund Policy
All sales are final.
There are no refunds or credits of any kind for SEO, digital marketing, website maintenance, website development, hosting, PPC, social media, or any related services, including services paid in advance, regardless of performance, results, or client satisfaction.
Once work has begun, drafts are provided, or services are delivered, no refunds or partial refunds will be issued.
5. Nature of SEO & No Guarantee of Results
SEO and digital marketing services are professional services only and are inherently variable. Results depend on factors beyond Tulumi’s control, including search engine algorithms, competition, third-party platforms, market conditions, and client participation.
Tulumi makes no guarantees or warranties regarding rankings, traffic, lead volume, conversions, revenue, or any specific outcome. Dissatisfaction with results does not constitute a breach of contract or grounds for refund.
6. Professional Judgment, Recommendations & Reliance
Any audits, recommendations, strategies, service packages, or scopes of work provided by Tulumi represent professional opinions based on experience, expertise and information available at the time.

7. Audit Scope & Limitations
Website audits and analyses are limited, point-in-time evaluations. Audits do not guarantee that all issues have been identified, that a website is error-free, or that specific results will be achieved.
An audit does not constitute a warranty of future SEO performance.
8. Pricing Structure
Unless expressly stated in writing, services are offered on a package, milestone, or monthly basis, not hourly.
Any publicly referenced hourly rates or estimates are illustrative only and do not create a binding hourly pricing obligation.
9. SEO Tools, Software & Post-Termination Effects
Tulumi uses proprietary methods, paid third-party tools, licensed software, subscriptions, scripts, dashboards, and integrations to perform services.
Use of such tools is provided only during an active, paid engagement. Upon termination or expiration, Tulumi may remove or deactivate access to these tools and software.
Client acknowledges that removal of paid tools may affect reporting, diagnostics, performance indicators, or audit results, and may cause subsequent third-party audits to differ materially from conditions that existed during the engagement.
Tulumi is not responsible for conclusions drawn by third parties after services end.
10. Third-Party Platforms & Authorized Access
Client may grant Tulumi access to third-party platforms (including Google, Meta, hosting providers, analytics tools, and advertising platforms) at various permission levels as needed to perform services.
Client authorizes Tulumi to retain such access for the duration of the engagement unless revoked by Client. Tulumi is not liable for claims arising from authorized access, absent unauthorized use or misconduct.
11. Engagements Originating on Third-Party Platforms
Where services originate on third-party platforms, the completion and closure of that platform contract constitutes the end of that specific engagement.
Any services requested after a platform contract has ended are considered a new and separate engagement, regardless of platform, and may be performed outside the original platform by mutual agreement.
Compliance with third-party platform terms is the responsibility of each party individually. No private right of action exists between Client and Tulumi based solely on alleged platform policy violations.
12. Client Materials, Delays & Approvals
Client is responsible for providing all required content and materials. Delays caused by Client may extend timelines. Projects inactive for more than 30 days may be paused or canceled.
Client must notify Tulumi of any concerns within seven (7) days of delivery. Once approved, work is deemed complete and may not be rejected later.
13. Post-Engagement Changes & Third-Party Opinions
Tulumi is not responsible for changes, reversals, removals, remediation, or differing opinions provided by Client or third parties after services conclude.
Subsequent audits, alternative strategies, or differing professional opinions do not establish that prior services were defective or improperly performed.
14. Limitation of Liability
To the fullest extent permitted by law, any claim arising out of services shall be limited to the amount paid for the specific service giving rise to the claim.
Tulumi shall not be liable for indirect, incidental, consequential, or speculative damages, including loss of profits, leads, or business opportunities.
15. Intellectual Property & Licensing
Upon completion and full payment, Client is granted a license to use deliverables for their intended purpose. Client is responsible for ensuring ownership or permission for all materials provided.
16. Confidentiality
Tulumi will not disclose Client’s confidential information and will take reasonable steps to protect it.
17. Changes to Terms & Conditions
Tulumi Digital Marketing reserves the right to update or modify these Terms & Conditions at any time.
Any updates will apply prospectively only and will be effective upon posting to our website with an updated “Last updated” date.
For new engagements, the version in effect at the time services are initiated shall govern.
For existing clients, continued use of services after notice of updated Terms constitutes acceptance of the revised Terms.
18. Entire Agreement
These Terms & Conditions constitute the entire agreement between the parties and supersede all prior discussions, representations, or understandings.
